Shared success should continue flowing back to Ukraine.
Ukraine’s defense innovators are creating extraordinary capabilities under conditions few companies or engineering teams could imagine.
Helicon Defense is being built to help selected Ukrainian and allied defense technologies with credible operational evidence move into trusted U.S. and allied manufacturing, delivery, and sustainment.
Our model begins with fair commercial economics for the people and companies that created those technologies.
For qualifying programs, Ukrainian originators retain their companies, background intellectual property, attribution, and negotiated technical roles. They receive negotiated upfront or milestone consideration and continuing royalties as their technologies move into U.S. and allied production.
Originator compensation comes first
Helicon’s agreements with technology originators may include:
- Negotiated upfront or milestone payments
- Continuing royalties
- Originator attribution
- Protection of background intellectual property
- A negotiated technical, engineering, or support role
- Other economics appropriate to the technology, rights, investment, and customer opportunity
Exact terms vary by signed agreement.
Helicon’s additional shared-success commitment
In addition to the compensation and royalties paid to Ukrainian technology originators, Helicon Defense intends to contribute 10% of its own program-level net profit from qualifying Ukraine-origin programs to UNITED24.
This contribution would:
- Come from Helicon’s share of qualifying program economics
- Be separate from payments and royalties owed to the technology originator
- Never be deducted from the innovator’s compensation
- Be administered through a transparent and independently documented structure
- Remain subject to appropriate U.S. and Ukrainian legal, tax, sanctions, procurement, anti-corruption, and compliance review
The final contribution structure, accounting definition, payment timing, eligibility criteria, and reporting process will be established through a written, counsel-reviewed policy.
Successful qualifying Ukraine-origin program
Originator value
Upfront or milestone compensation plus continuing royalties.
Ukraine public-benefit value
10% of Helicon’s own program-level net profit intended for UNITED24.
Separate streams. The second does not reduce the first.
Fair business first—and shared success beyond it
This commitment is not charity in place of fair commercial compensation.
It is fair business first—and shared success beyond it.
When a selected Ukrainian technology succeeds in U.S. or allied manufacturing, the innovator who created it should participate directly and continuously in that success.
We also believe a portion of the value created by Helicon should continue flowing back to Ukraine and its people.
Ukraine’s innovators have built important capabilities through courage, ingenuity, sacrifice, and relentless execution. Helicon intends to honor that contribution through a business model that creates recurring value for the originator and a continuing public-benefit contribution from Helicon’s own qualifying profits.
Slava Ukraini. 🇺🇦
